INTRODUCTION
These Dometic Product Academy Terms and Conditions (“Terms”) govern access to and use of the Dometic Product Academy Website, including all training materials, content, tools and services made available through the Dometic Product Academy Website (collectively, the “Site”). The Site is only for use by representatives (“you”) of dealers, installers and other business entities (each a “Customer”) engaged in the authorized sale, marketing, and servicing of the products of Dometic Corporation and its affiliates (collectively, “Dometic,” “we” or “our”). By accessing or using the Site or by clicking to accept or agree to the Terms when this option is made available to you, you and the Customer accept and agree to be bound and abide by these Terms and the Dometic Privacy Policy, which can be found at https://www.dometic.com/en-us/privacy-policy (opens in new tab) (if you are located in a jurisdiction outside of the United States, you may be subject to a different Dometic Privacy Policy applicable to the jurisdiction in which you are located, and which can be found on the Dometic website in that jurisdiction):
If the Customer does not agree to these Terms, you must not access or use the Site.
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them.
PURPOSE OF THE SITE
The Site is provided solely to support Customer’s authorized sale, marketing, and servicing of Dometic’s products. The Site may include product training, manuals, instructions, marketing resources, reference materials, and other information provided for general informational and educational purposes only.
The Company may modify, suspend, or discontinue any portion of the Site, and may withdraw or amend any service or material provided on the Site, with or without notice.
AUTHORIZED ACCESS AND USE
Access to the Site is limited to Customer’s employees or contractors who have been expressly authorized by Customer (“Authorized Users”). Customer shall ensure that all Authorized Users are made aware of and comply with these Terms.
Customer is responsible for: (i) maintaining the confidentiality of all login credentials; (ii) all activities conducted through Customer’s and its Authorized Users’ accounts; and (iii) immediately notifying Dometic of any unauthorized access or suspected security breach.
Dometic may suspend or revoke Site access at any time in its sole discretion.
TRAINING MATERIALS – INFORMATIONAL USE ONLY
No Replacement for Official Documentation
All training materials, videos, presentations, documents, training information, and other content available through the Site (“Training Materials”) are provided for general informational and educational purposes only.
Training Materials: (i) do not constitute product specifications, installation instructions, service manuals, safety guidance, warranties or guarantees; (ii) do not replace or supersede official product manuals, installation guides, service bulletins, recall notices, safety instructions, or other official Dometic documentation; and (iii) may be product-version-specific, scenario-specific, or simplified for training purposes.
No Reliance
Customer acknowledges and agrees that it shall not rely on Training Materials as the sole basis for: (i) product installation, servicing, maintenance, or repair; (ii) safety procedures or warnings; (iii) regulatory, legal, or industry compliance; or (iv) communications or representations to end customers.
Customer is solely responsible for consulting and complying with all applicable official Dometic documentation and all applicable laws, regulations, required certifications, and industry standards.
No Professional or Technical Advice
Training Materials do not constitute engineering, technical, safety, legal, or professional advice. Customer assumes all risk associated with use of the Training Materials.
ACCURACY AND UPDATES
Training Materials may be incomplete, outdated, or subject to change. Dometic makes no representation or warranty that Training Materials are current, accurate, or complete and undertakes no obligation to update previously issued Training Materials.
Customer is responsible for verifying that any information relied upon is current and applicable to the specific products and circumstances at issue.
INTELLECTUAL PROPERTY AND CONFIDENTIAL INFORMATION
Ownership
The Site and its entire features, functionality, and content, including Training Materials, text, graphics, videos, audio, software, and the design, selection, and arrangement thereof, are owned by Dometic, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The Dometic name, logo, and all related names, logos, product and service names, designs, and slogans (the “Marks”) are trademarks of Dometic or its licensors. You must not use such Marks without the prior written permission of Dometic. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
Limited License
Subject to Customer’s agreement to and compliance with these Terms, we grant Customer a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to use the Site solely for internal business purposes in connection with the authorized sale and servicing of Dometic’s products.
Confidential Information
The Site and its contents, including Training Materials, constitute the Company’s confidential and proprietary information, and may only be used for Customer’s internal business purposes in connection with the authorized sale and servicing of Dometic’s products. Customer shall not copy, record, download, distribute, publicly display, or disclose such content to any third party without Dometic’s prior written consent.
PROHIBITED USES
You and Customer may use the Site only for lawful purposes and in accordance with these Terms. When using the Site, you and Customer shall not:
Modify, create derivative works, copy, redistribute, reproduce, publish, transmit, display, or in any way exploit the Site, its content, the Training Materials, or any Marks without prior written permission from Dometic and, if applicable, the respective copyright owner.
Use the Site, its content, the Training Materials, or any Marks for any purpose other than as expressly permitted herein or otherwise set forth on the Site. Any such use is a violation of copyright and other proprietary rights.
Share credentials to the Site with any unauthorized users.
Violate any applicable law, contract, intellectual property, or other third-party rights. You and Customer are solely responsible for your conduct while accessing or using this Site.
Use the Site in any manner that conflicts with any Dometic documentation or safety instructions.
Use the Training Materials in external-facing materials or advertising without prior written approval.
Engage in any harassing, threatening, intimidating, predatory or stalking conduct.
Impersonate another person or log into an account which you are not authorized to access.
Interfere or attempt to interfere with the Site or any other Authorized User, host, or network, including by way of introducing a virus, worm, bug, overloading, flooding or crashing, or sending unsolicited e-mail, promotions, or advertisements.
Reverse engineer, decompile, or disassemble any aspect of the Site or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any part of the Site.
RELATIONSHIP TO OTHER AGREEMENTS
Use of the Site does not amend, modify, or supplement any existing dealer, distributor, sales, or service agreement between Dometic and Customer. In the event of a conflict, the applicable written agreement between the parties shall control. Training Materials do not create any additional warranties, obligations, or representations in any such agreements.
DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PROVIDED BY LAW, DOMETIC WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR’S AND CUSTOMER’S USE OF THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR YOUR’S OR CUSTOMER’S DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.
CUSTOMER’S USE OF THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE IS AT CUSTOMER’S OWN RISK. THE SITE, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER DOMETIC NOR ANY PERSON ASSOCIATED WITH DOMETIC MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY,
RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE OR ITS CONTENTS, INCLUDING TRAINING MATERIALS. WITHOUT LIMITING THE FOREGOING, NEITHER DOMETIC NOR ANYONE ASSOCIATED WITH DOMETIC REPRESENTS OR WARRANTS THAT THE SITE, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY CUSTOMER FROM US THROUGH THE SITE SHALL CREATE ANY WARRANTY, REPRESENTATION, OR GUARANTEE NOT EXPRESSLY STATED IN THESE TERMS.
THE CONTENT, INFORMATION, TRAINING MATERIALS, AND ALL OTHER MATERIALS ON THE SITE ARE PROVIDED FOR GENERAL INFORMATION PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE.
TO THE FULLEST EXTENT PROVIDED BY LAW, DOMETIC HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DOMETIC (INCLUDING ANY ITS WORLDWIDE AFFILIATES AND RELATED ENTITIES) OR ANY OF ITS SERVICE PROVIDERS, LICENSORS, DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE TO YOU, ANY CUSTOMER OR ANY THIRD PARTY, FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR’S OR CUSTOMER’S USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
INDEMNIFICATION
Customer agrees to defend, indemnify, and hold harmless Dometic (including any of its worldwide affiliates and related entities), its licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to Customer’s violation of these Terms or use of the Site, including, but not limited to, any use of the Site’s content, services, and products other than as expressly authorized in these Terms, Customer’s failure to follow official Dometic documentation, Customer’s or its Authorized Users’ misuse of the Site or any Training Materials, or any representations made by Customer based on Training Materials or any other Site content.
SUSPENSION AND TERMINATION
Dometic may suspend or terminate Customer’s or any Authorized User’s access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all licenses granted hereunder immediately cease.
GOVERNING LAW AND JURISDICTION
All matters relating to the Site and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to any choice or conflict of law provision or rule (whether of the State of Illinois or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Illinois, in each case located in the City of Chicago and County of Cook, although we retain the right to bring any suit, action, or proceeding against you or Customer for breach of these Terms in your or Customer’s country of residence or any other relevant country. You and Customer waive any and all objections to the exercise of jurisdiction over you and Customer by such courts and to venue in such courts.
MISCELLANEOUS
No waiver by Dometic of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Dometic to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or
limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
The Terms, our Privacy Policy, and any other document incorporated therein by reference, constitute the sole and entire agreement between Customer and Dometic regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
